Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "Customer") and DataMCP LLC ("DataMCP," "we," "us," or "our"), a Wyoming limited liability company located at 30 N Gould St Ste R, Sheridan, WY 82801. By accessing or using our platform at dashboard.datamcp.app, api.datamcp.app, or datamcp.app (collectively, the "Service"), you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

  • "Service" means the DataMCP platform, including the dashboard application, MCP server endpoints, APIs, and all related services.
  • "MCP Link"means a configured endpoint that exposes a Customer's PostgreSQL database schema and data to AI tools via the Model Context Protocol.
  • "Connection"means a configured link between the Service and a Customer's PostgreSQL database instance.
  • "Organization" means a group account that may include multiple members with varying roles and permissions.
  • "Customer Data" means any data, including database connection credentials and query results, that you provide to or generate through the Service.

2. Account Registration

To use the Service, you must create an account through our authentication provider, Supabase Auth. You may register using an email and password or through supported third-party OAuth providers (e.g., GitHub, Google). You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately at support@datamcp.app if you become aware of any unauthorized use.

3. Subscription Plans and Pricing

DataMCP offers the following subscription plans:

  • Free— $0/month. Includes 1 PostgreSQL connection, 1 MCP link per connection, 2 organization members, and 7-day activity log retention.
  • Pro— $19/month. Includes 3 PostgreSQL connections, 5 MCP links per connection, 5 organization members, and 30-day activity log retention.
  • Enterprise— $49/month. Includes 15 PostgreSQL connections, 50 MCP links per connection, 25 organization members, and 365-day activity log retention.

We reserve the right to modify pricing with at least 30 days' notice. Any pricing change will not affect your current billing cycle.

4. Payment and Billing

All paid subscriptions are billed monthly through Stripe. By subscribing to a paid plan, you authorize DataMCP to charge the payment method on file via Stripe for the applicable fees. Subscriptions automatically renew at the end of each billing cycle unless cancelled. You may cancel at any time through the dashboard, and cancellation will take effect at the end of the current billing period. No partial refunds are issued for unused portions of a billing cycle unless covered by our Refund Policy.

5. Free Tier

The Free plan is available indefinitely at no cost, subject to the usage limits described above. We reserve the right to modify or discontinue the Free plan with 30 days' notice. Free-tier accounts that remain inactive for more than 180 consecutive days may be subject to suspension or deletion after notification.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law.
  • Attempt to gain unauthorized access to the Service, other users' accounts, or any systems or networks connected to the Service.
  • Reverse engineer, decompile, or disassemble any part of the Service except to the extent permitted by applicable law.
  • Use the Service to transmit malware, viruses, or any other malicious code.
  • Interfere with or disrupt the integrity or performance of the Service, including through excessive API calls or denial-of-service attacks.
  • Resell, sublicense, or redistribute access to the Service without our written consent.
  • Use the Service to store, process, or transmit data that you do not have the right to use.

7. Customer Data and Security

You retain all rights to your Customer Data. We do not claim ownership of any data you provide to the Service. Database connection credentials are encrypted at rest using AES-256-GCM encryption. All data in transit is protected via TLS. We do not access your database content except as necessary to provide the Service (e.g., schema introspection, query execution as directed by your MCP links). 8. Intellectual Property

The Service, including its design, code, documentation, logos, and trademarks, is owned by DataMCP LLC and protected by intellectual property laws. These Terms do not grant you any right to use DataMCP's trademarks, branding, or logos without prior written consent. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms.

9. Service Availability and Modifications

We strive to maintain high availability but do not guarantee uninterrupted access. The Service is provided on an "as available" basis. We may modify, suspend, or discontinue any feature of the Service at any time. We will make commercially reasonable efforts to notify you of material changes. Scheduled maintenance windows will be communicated in advance when possible.

10. Third-Party Services

The Service integrates with third-party providers including Supabase (authentication and database), Stripe (payment processing), Render (infrastructure hosting), and PostHog (analytics). Your use of the Service may be subject to the terms and privacy policies of these providers. We are not responsible for the practices of third-party services.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DATAMCP LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO DATAMCP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

13. Indemnification

You agree to indemnify, defend, and hold harmless DataMCP LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your infringement of any third-party rights.

14. Termination

Either party may terminate this agreement at any time. You may close your account through the dashboard or by contacting support@datamcp.app. We may suspend or terminate your access if you violate these Terms, fail to pay applicable fees, or if we determine that your use poses a risk to the Service or other users. Upon termination, your right to access the Service ceases immediately. We may retain certain data as required by law or for legitimate business purposes as described in our Privacy Policy.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Wyoming. Before initiating any legal proceedings, you agree to attempt to resolve disputes informally by contacting us at support@datamcp.app.

16. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or through a notice on the Service at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Service and close your account.

17. Miscellaneous

  • Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
  • Entire Agreement. These Terms, together with the Privacy Policy, Refund Policy, Cookie Policy, and Data Processing Agreement, constitute the entire agreement between you and DataMCP regarding the Service.
  • Waiver. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
  • Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.
